Job Title: Legal Counsel – Renewable Energy (Philippines)
Location: Philippines
Job Responsibilities:
- Provide comprehensive legal support across the full lifecycle of renewable energy projects, including solar, wind, hydro and battery storage, from development through to construction and operations
- Draft, review and negotiate a wide range of project-related agreements, including PPAs, EPC contracts, O&M agreements, land lease and option agreements, joint venture agreements and financing documents
- Lead and manage regulatory and permitting processes with relevant Philippine government agencies, including the DOE, ERC, DENR and LGUs
- Advise on compliance with Philippine energy laws, regulations and policies, including the Renewable Energy Act, Electric Power Industry Reform Act (EPIRA) and related implementing rules
- Support project financing activities, including liaising with lenders, multilaterals and legal advisors on financing documentation and conditions precedent
- Manage land acquisition and title due diligence processes, coordinating with local counsel and internal development teams
- Monitor legislative and regulatory developments in the Philippine energy sector and assess their impact on the business
- Provide legal guidance on corporate structuring, joint ventures, shareholder agreements and regulatory approvals, including foreign equity compliance under Philippine law
- Coordinate and manage external legal counsel engaged for specific matters or transactions
- Support dispute resolution processes, including contract claims, regulatory proceedings and stakeholder negotiations
- Advise on ESG-related legal obligations and sustainability commitments applicable to the business
- Other duties as assigned
Essential Qualifications:
- Bachelor of Laws (LLB) or Juris Doctor (JD) from a recognised Philippine law school; admitted to the Philippine Bar
- Minimum 7 years of post-qualification legal experience, with significant exposure to energy, infrastructure or project finance transactions
- Strong working knowledge of Philippine energy regulations, including the Renewable Energy Act, EPIRA and DOE/ERC regulatory frameworks
- Proven experience in drafting and negotiating commercial and project contracts in the energy or infrastructure sector
- Excellent analytical, drafting and communication skills, with the ability to advise clearly on complex legal matters to non-legal stakeholders
- Ability to manage multiple matters simultaneously in a dynamic, transaction-driven environment
Desired Experience:
- In-house legal experience within a renewable energy developer, independent power producer or infrastructure fund
- Familiarity with project finance documentation and lender requirements, including security arrangements and conditions precedent
- Experience working on cross-border transactions or with international investors and partners
- Exposure to environmental permitting, land tenure issues and indigenous peoples’ rights (FPIC) processes in the Philippines
- Knowledge of foreign investment restrictions and corporate structuring considerations under Philippine law
