Position Summary:
The Vice President of Mergers & Acquisitions will lead the end-to-end execution of M&A transactions, including deal sourcing, valuation, due diligence, negotiation, and closing. This role requires deep expertise in financial modeling, legal documentation, and cross-functional collaboration to drive strategic growth through acquisitions, investments, and partnerships. The VP, M&A will work closely with executive leadership, legal, finance, and external advisors to ensure successful deal outcomes.
Key Responsibilities:
- Deal Sourcing & Origination
- Identify and evaluate acquisition/investment opportunities aligned with corporate strategy.
- Cultivate relationships with investment banks, advisors, and target companies.
- Conduct preliminary due diligence and feasibility assessments.
- Financial Analysis & Valuation
- Lead financial modeling (DCF, comparables, LBO) and synergy analysis.
- Assess target financials, forecasts, and KPIs to evaluate ROI.
- Prepare investment memos and presentations for executive/board review.
- Due Diligence Management
- Oversee financial, legal, tax, operational, and commercial due diligence.
- Coordinate cross-functional teams to identify risks/opportunities.
- Synthesize findings into actionable recommendations.
- Deal Structuring & Negotiation
- Lead term sheet and purchase agreement negotiations.
- Advise on deal structures (asset vs. stock, earnouts, escrows).
- Collaborate with legal teams to finalize contracts with favorable terms.
- Transaction Execution
- Manage closing processes, regulatory filings, and stakeholder coordination.
- Ensure compliance with legal and financial requirements.
- Oversee post-closing transition obligations.
- Post-Merger Integration
- Partner with business units to execute integration plans.
- Track synergy realization and post-deal performance.
- Support operational teams during integration.
Qualifications:
- Education: Bachelor’s in Finance, Accounting, Economics, or Law; MBA/CFA/CPA preferred.
- Experience:
- 10+ years in M&A, corporate development, investment banking, or private equity.
- Proven track record leading complex transactions (development-stage to operational assets).
- Expertise in financial modeling, valuation, and contract negotiation.
Technical Skills:
- Advanced financial modeling (DCF, LBO, accretion/dilution).
- Mastery of legal documentation (SPAs, NDAs, reps & warranties).
- Knowledge of regulatory compliance (SEC, antitrust, foreign investment rules).
Competencies:
- Strategic thinker with strong analytical and problem-solving skills.
- Exceptional negotiator and project manager.
- Ability to collaborate across legal, finance, and C-suite stakeholders.
Preferred Attributes:
