Overview
We are a fast-growing renewable energy developer focused on utility-scale solar, onshore wind and battery energy storage projects across Asia-Pacific. The Legal Director / MD, based in our Hong Kong headquarters, will lead the Hong Kong legal function and act as a key strategic advisor to senior management on corporate, regulatory and project-related matters. This role is ideal for a hands-on lawyer who is flexible and comfortable solving complex problems in a dynamic, entrepreneurial environment.
Key Responsibilities
- Lead and manage the Hong Kong legal function, acting as principal in-house counsel for the headquarters.
- Provide legal support on corporate, commercial and regulatory matters, including company law, corporate governance and board-related documentation.
- Work closely with the legal team and other regional stakeholders on project financing, M&A, joint ventures and other strategic transactions.
- Advise on the full lifecycle of renewable energy projects (solar, onshore wind, BESS), including development, construction, operation and offtake arrangements.
- Draft, review and negotiate a wide range of contracts, such as SPAs, shareholder agreements, EPC/O&M contracts, land agreements, PPAs and service agreements.
- Identify legal risks across the group’s activities in Asia-Pacific and propose practical, commercially balanced solutions.
- Manage external counsel in Hong Kong and other jurisdictions, ensuring efficient and cost-effective service delivery.
- Establish and maintain internal policies, templates and processes to support compliant and scalable growth.
- Support dispute prevention and resolution, including coordination of any contentious matters with external counsel.
Candidate Profile
- Qualified lawyer with a valid Hong Kong practicing certificate.
- 8–15 years of post-qualification experience, ideally including reputable law firm training plus in-house experience with an energy, infrastructure or project-focused company.
- Strong grounding in Hong Kong company law, corporate/commercial work and cross-border transactions.
- Prior experience supporting energy, infrastructure or project finance transactions; exposure to renewable energy (solar, wind, BESS) is strongly preferred.
- Demonstrated experience managing or coordinating legal aspects of complex, multi-stakeholder projects.
- Track record of operating as a business partner: pragmatic, solutions-oriented and comfortable balancing legal risk with commercial objectives.
- Flexible, hands-on mindset: adaptable, willing to roll up sleeves in a lean team and work across time zones.
- Excellent problem-solving skills, with the ability to break down complex issues and propose clear, actionable options.
- Strong communication skills in English; Chinese language skills (Cantonese and/or Mandarin) are a significant advantage.
